The Client was interested in the acquisition of 80% of the participation of a Dominican company dedicated to the tourist maritime transport business, for the realization of tours and excursions to Isla Saona, located in the southeast of the country. The company to buy is a company that has been operating since 2011, with an exclusive concession from the Ministry of the Environment to exploit a protected area within a national park area, where only ecotourism activities are allowed. In accordance with the Client’s needs and our interest in protecting their investment, the Firm performed a Corporate and Fiscal Due Diligence to review the status of the company, its assets and liabilities, and prepared and negotiated a purchase and sale contract with due guarantees for safeguard the interests of the Client, considering important liabilities identified during the execution of the Due Diligence, such as labor contingencies, debts with suppliers, debts before the local environmental authorities, among other obligations that may affect the assets and operations of the company of the which shares are disposed of. As part of the work carried out on behalf of the Client, and considering the best investment strategy, a previous purchase-sale promise signed between the parties was rescinded by mutual agreement following our advice, we prepared this document together with the corporate documents (Assemblies, lists of subscribers, declaration of transfer, new statutes) for a complete coherent process, and discussed with the counterparty about its content. Eventually, the firm commissioned the corresponding records and transfers, before the Chamber of Commerce and the General Directorate of Internal Taxes. Likewise, the Firm has prepared for the Client a private financing contract to cover the payment of the purchase, with the best interest rate in the market, term and conditions that will not affect normal operations and its new investment.
